Bentam on the acquisition financing of Optoprim Group.

Bentam advised BRED Banque Populaire as arranger for the financing of the acquisition of the Optoprim group by a newly incorporated company capitalised by NCI (via the professional private equity fund Reprendre et Développer 5), Re-Sources Capital (via the professional private equity fund Re-Sources 3) and some of Optoprim’s historical shareholders and managers.

Founded in 1994, the Optoprim group, a key actor in the European photonics industry, is composed of the French company Optoprim and its four subsidiaries, the French companies Industrial Laser Systems and GATACA Systems, the Italian company Optoprim Italy S.R.L. and the German company Optoprim Germany GmbH.

 

NCI (via the professional private equity fund Reprendre et Développer 5), Re-Sources Capital (via the professional private equity fund Re-Sources 3) and some of Optoprim’s historical shareholders and managers set up together the holding company Optoprim Group in order to acquire the entire share capital of Optoprim.

 

The acquisition was partly financed by means of a bank loan granted to Optoprim Group by BRED Banque Populaire (arranger), Crédit du Nord and Crédit Lyonnais. Bentam, as legal advisor to the arranger, drafted the bank financing documentation and advised the lenders in its negotiation and signature.
