Bentam on the financing of the acquisition of Proferm group.

Bentam advised Banque Populaire du Nord Banque Populaire du Nord, Banque CIC Nord Ouest and Caisse Régionale de Crédit Agricole Mutuel Nord de France for the financing of the acquisition of Proferm group by a newly incorporated company founded by NCI (via the FPCI Reprendre et Développer 5), IRD Invest (via the FPCI FE2T), CE HDF Capital and certain historical shareholders and managers of Proferm.

Created in 2006, the Proferm group, a key player in industrial joinery, employs 210 people, mainly in the Pas-de-Calais region (France), and has a turnover of €40 million.

NCI (via the FPCI Reprendre et Développer 5), IRD Invest (via the FPCI FE2T), CE HDF Capital and several Proferm's historical shareholders and managers incorporated a holding company to acquire all of Proferm's shares.

The acquisition was partly financed by a bank loan facility granted to the holding company by Banque Populaire du Nord (arranger), Banque CIC Nord Ouest and Caisse Régionale de Crédit Agricole Mutuel Nord de France. Bentam, as legal advisor to the lenders, advised the banking institutions for the the drafting and negotiation of the finance documentation.
